SEC approves management-aligned auto-voting for retail investors

On September 30, Reuters reported that SEC staff approved Tesla’s issuer voluntary retail voting program and said the approach could be used by other public companies. Under the model, investors can opt to have proxy votes cast automatically in line with management; Tesla said the system could increase participation from the roughly 30% retail rate toward the 77% institutional rate, while shareholder activists warned that it would weaken support for independent proposals. Issuers considering the mechanism should assess enrollment disclosures, revocation rights, conflicts and the audit trail for each instruction, not only the expected increase in turnout. Boards should also consider whether higher nominal participation may obscure rather than resolve questions about informed voting on climate, workforce and executive-pay matters.
