Investors with $270 million in Starbucks stock seek restored labor oversight

On September 30, Reuters reported that shareholder groups collectively holding nearly $270 million in Starbucks stock had filed proposals asking the board to restore a committee dedicated to labor relations. The filers cited the absence of a US union contract nearly five years after the first store organized, while Starbucks said redistributing the dissolved committee’s responsibilities had made oversight stronger and more integrated. The governance question is not simply whether labor risk appears in a committee charter, but whether the board can demonstrate sustained information flow, ownership and escalation when disputes affect operations and strategy. Corporate counsel should test whether a redistributed mandate produces auditable oversight or instead leaves a material workforce risk without a clear accountable forum.
